Terms of Service

1. Agreement

By creating an account or using the DayTrace mobile or web application (the "Service"), you agree to these Terms. If you do not agree, do not use the Service. The Service is provided by Cyans SEZC Ltd, The Valley, Anguilla, B.W.I. ("Cyans", "we", "us").

2. Not legal or tax advice

DayTrace is a data-logging and day-counting tool. It is not a tax advisor, legal advisor, or accountant, and nothing in the Service constitutes legal or tax advice.

Tax residency rules are complex, change frequently, and depend on facts specific to your situation including treaties, intent, ties, and more. Day counts produced by DayTrace are estimates based on GPS data and may not reflect the precise counts required by any particular tax authority.

Always consult a qualified tax advisor or attorney before making any decisions based on information shown in the Service. We are not responsible for any tax liability, penalties, or legal consequences arising from your use of or reliance on DayTrace.

3. Accuracy of location data

Location tracking depends on device GPS, network connectivity, operating system background activity limits, and other factors outside our control. Data may be missing, delayed, or inaccurate. DayTrace makes no representation that its day counts are complete or accurate, and accepts no liability for errors, gaps, or incorrect classifications.

4. Subscription and billing

Paid plans are billed through the Apple App Store or Google Play. Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date. We do not issue refunds outside of what is required by applicable app store policies. Prices may change with reasonable notice.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to reverse-engineer, scrape, or interfere with the Service.
• Use the Service to track any person without their consent.
• Share your account credentials with others.

We reserve the right to suspend or terminate accounts that violate these terms without refund.

6. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYANS SEZC LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOST PROFITS, TAX PENALTIES, FINES, OR LEGAL COSTS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR USD $20, WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify and hold harmless Cyans SEZC Ltd from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

9. Governing law

These Terms are governed by the laws of Anguilla, B.W.I. Any disputes shall be resolved in the courts of Anguilla, and you consent to exclusive jurisdiction there.

10. Changes to these Terms

We may update these Terms at any time. We will provide notice via email or in-app notification for material changes. Continued use of the Service after notice constitutes acceptance of the updated Terms.
